How to Use & Customize This Template

1

Specify Deliverable Milestones

Break down the project into 3 to 4 verifiable deliverables with concrete acceptance criteria.

2

Strictly Enumerate Exclusions

Detail exactly what is out-of-scope to protect against unpaid scope creep during execution.

3

Tie Deposits to Kickoff

Never start work without a milestone deposit (typically 25% to 50% upfront).

Pro Formatting & Best Practice Tips

  • The "Out-of-Scope" clause is the most important legal protection for software freelancers against unpaid overtime.
  • Define an explicit revision cap (2 rounds) to avoid endless microscopic aesthetic tweaks.
  • Always require client milestone sign-off before releasing production source code credentials.

Frequently Asked Questions

What is scope creep and why does this template prevent it?

Scope creep occurs when clients request additional features or design changes without increasing the budget. By listing Out-of-Scope boundaries and hourly change-request rates, clients know that extra requests require extra budget.

Can this SOW serve as a standalone contract?

It can serve as a standalone contract if accompanied by general terms of service, or it can be appended as "Schedule A" to a Master Services Agreement (MSA).
